Terms And Conditions

Thank you for using Acorde. These terms and conditions form a contract between you as an organisation administrator or manager, and Acorde ("us") as a provider of the Acorde feeback survey platform, hereafter referred to as the "Service". You agree to these terms by using the Service. Furthermore as an organisation, the individual who agrees to these terms on your behalf must have the authority to bind the organsation to the terms outlined here.

1. Access to the Acorde platform

During the term of your subscription we will provide you with access of the Acorde platform. This is accessed through the web portal at https://acorde.app/office/dashboard.

2. Changes to the Service

We are constantly improving the experience on the Acorde platform and introducing or changing features based on feedback from our users. We reserve the right to alter our Service at any time without prior notice however we will endeavour to update you of changes before they are implemented. Any change we make to the platform that results in an overall decrease in functionality will enable you to terminate your subscription in accordance with section 9.1

3. Temporary Suspension of Service

We may occassionally limit or suspend the service at our discretion to perform maintenance, to upgrade parts of the platform, or to respond to any security issue or other emergency. Where possible we will notify you of future planned suspension of the service however in the case of an emergency issue this may not be possible or practical. If you believe the length of time taken to resolve any issues on our part, or the maintenance period undertaken had an undue effect on your use of the Service you may terminate your subscription in accordance with section 9.1

4. User Data

As an organisation administrator or manager, you must obtain all neccessary rights and consent to collect, transfer and store user data you enter into the Platform. This includes conforming to all privacy laws and, in the case of users in the European Union, the General Data Protection Regulation 2016 (GDPR). You must have legitimate interest in processing the data of natural persons you enter into the Acorde platform and you are responsible for maintaining the accuracy of this data. You must also delete personal data you have entered into the Acorde platform when you no longer have a need to store it. We provide functionality for deleting employee data which will result in all associated unanonymised data being removed from our servers. Persons whos data is held by us may contact us to have their data modified, removed or to have processing paused. We will comply with these requests and cannot guarantee you will be notified.

4.1 Anonymity

Feedback survey data from users you add to the Platform is kept anonymous by us in accordance with our Anonymity Policy. Any personal data for which users have not opted to remove the anonymity and confidentiality shall be kept confidential by Acorde and not shared with you or other members of your organisation, unless with consent from the data subject.

5. Compliance with Laws

When using the Service you must comply with all applicable laws including privacy laws (see section 4). As a user of this Service you are responsible for obtaining any consent required to use this service.

6. Fair Use

You must not use the platform to publish material that:

  • Violates any laws
  • Advertises for any paid goods or services
  • Contains threatening, abusive or obscene language
  • Infringes any third party copyrights
  • Is untrue, false, inaccurate or misleading
  • Contains pornographic or otherwise inappropriate material
  • Constitues spam or phising attacks
  • Content designed to overload our servers
  • Consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software
  • You must not use our website to link to any web page containing material that would, were it posted on our website, breach these of these terms of use.

You understand that we do not actively monitor the content uploaded to platform and we do not accept any liability for unauthorized or unlawful content on Acorde or use of Acorde by users.

7. Billing

The Acorde platform Service is billed on a subscription basis via our billing partner Stripe. The billing period is a rolling one calendar month and is billed in advance on a recurring basis.

You agree to pay Acorde any fees for each Service you purchase or use, in accordance with the pricing and payment terms presented to you for those Services. Except as indicated in these terms and conditions or required by law, fees paid by you are not refundable.

8. Price Changes

Acorde may change its fees or fee structure at any time for use of the Platform. You will be notified no later than 30 days before any price change and your subsequent billing period will be charged at the new rate. You may terminate your subscription due to a price change as outlined in section 9.2 of these terms and conditions

9. Termination of Service

Either you or Acorde may terminate the Service to be effective at the end of the current subscription term by providing the other party with written notice withing 30 days of the end of the current subscription term (see section 7 for subscription term length). This agreement, and by extension, use of the Service, may also be terminated within 7 days of the beginning of a new subscription term.

Futerhmore, either party may suspend or terminate this agreement if the other party:

  • Is in material breach of these terms and conditions and fails to cure that breach within 30 days after receipt of written notice; or

  • ceases its business operations or becomes subject to insolvency proceedings and the proceedings are not dismissed within 90 days.

9.1 Termination Due to Decrease in Functionality

If we make a change to the Acorde Platform resulting in an overall decrease in functionality for you, you may terminate this agreement immediately by providing written notice. Upon receiving written notice of termination from you, Acorde will provide you with a refund of any fees prepaid by you applicable to the period following the termination of this Agreement.

In no event will expiration or termination of service relieve you of any fees payable for the period prior to the date of termination.

9.2 Termination Due to Price Changes

The billing cycle for the Acorde platform is one calendar month and the pricing for your next billing cycle is subject to change as outlined in section 8. You may terminate your subscription within 30 days of receiving notice about a billing price change by providing Acorde with written notice of termination. Termination will be effective from the date of the change and you will not receive a refund on any charges paid up to this point.
